第一步：到工商局注册大厅“外资登记受理”窗口办理变更手续，并提交以下材料：律师

1. 企业法定代表人签署的《外商投资企业变更（备案）登记申请书》；

2. 董事会决议；

3. 企业法人营业执照正副本；

4. 变更相关登记事项还需提交下列文件；

1） 名称变更：《企业名称变更核准通知书》；

2） 经营范围变更：批复和批准证书及合同、章程的修改文本；

3） 住所变更：新的住所使用证明；

4） 法定代表人变更：法定代表人任免文件及《法定代表人登记表》；

5） 投资总额和注册资本变更：批复和批准证书及合同、章程的修改文本、减资还需提交减资公告及债务清偿报告或债务担保证明；

6） 股权转让：批复、批准证书、合同章程修改文本、股权转让协议、新的投资方开业证明和资信证明、合营他方放弃优先受让权的声明；

7） 董事备案：任免文件、董事会成员名单；律师

其他有关文件证件

注：第（2）、（5）、（6）项的变更需先到外经委申领批复和批准证书

第二步：到工商局注册大厅领取营业执照

How to Alter Business License of Foreign Investment Enterprise

First step: Please come to our registration hall to apply for alternation and present decuments as below:

1.《Requisition of altertion (filing) foreign investment enterprise》signed by legal person;

2. Resolution of board of directors;

3. Original and duplicate of bussiness Liscense;律师

4. Corresponding documents of different familiar alteration as below:

A. Approval Notification of Enterprise’s Name for Name alteration;

B. Approval certificates， wriiten reply and alteration of legal residence;

C. Certificates of enterprise’s legal residence for Alteration of legal residence;

D.Appointment Certificate of legal Representative and 《Registration form of Legal Representative》for legal person alternation;律师

E. Approval certificates， written reply and alteration version of association article for general investment capital and registered capital;

5. Other pertinent document and credentials.

Attention:To complete alterations”B&E”， Please apply to Commission of foreign Economic Telation and Trade Cooperation for Cooperation for approval certificates first.

Second step: Please go back to our registration hall and get you business license.律师
